Moore has been named as Chief Executive Officer of Atria. ~~American~~In ~~Retirement~~connection ~~Villas~~with ~~Properties~~this ~~III~~appointment, LMr.P. ~~(“ARVP~~Moore ~~III”), announced~~was ~~that~~also onnamed ~~January~~the 3,Chairman ~~2003,~~and ~~ARV,~~Chief ~~Prometheus~~Executive Officer of ARV Assisted Living, ~~LLC~~Inc. (“~~Prometheus~~ARV”), ~~and~~which ~~Jenny~~is ~~Merger~~a ~~Corp~~part of Atria., aMr. ~~wholly-owned~~Moore ~~subsidiary~~has ofserved ~~Prometheus~~a ~~(“Merger~~Director ~~Sub”),~~of ~~entered~~the ~~into~~Company ansince ~~Agreement~~July 1999 and ~~Plan~~will ofcontinue ~~Merger~~to ~~(the~~serve ~~“Merger Agreement”)~~as a Director.

~~Pursuant~~Mr. toMoore ~~the~~replaces ~~Merger~~Douglas ~~Agreement,~~M. ~~The obligations of~~ ARV, ~~Prometheus,~~is ~~and Merger Sub to consummate~~ the ~~Merger~~general ~~are~~partner ~~subject to certain closing conditions, including, among other things, that ARV obtain the affirmative vote~~ of aAmerican ~~majority~~Retirement ofVillas ~~all~~Properties ~~the outstanding common stock of ARV.~~III, ~~Prometheus currently owns approximately 43~~L.~~5% of the ARV’s outstanding common stock and its affiliate holds a warrant, which if exercised, would result in Prometheus and its affiliates, together, owning approximately 45~~P.8% of (the ~~ARV’s outstanding common stock~~“Partnership”).
