Item 8.01. Other Events.

On March 1, 2005, IMPAC Medical Systems, Inc. (the “Company”) issued a press release announcing that, on February 25, 2005, it withdrew its premerger notification previously filed with the Department of Justice and the Federal Trade Commission. The Company refiled the premerger notification on March 1, 2005. A copy of the press release is attached as Exhibit 99.1.
