Item 8.01 Other Events.

On May 2, 2005, Standard Commercial Corporation issued a press release announcing that, as part of its previously announced cash tender offer for any and all of its outstanding 8% senior notes, Series B, due 2012 and solicitation of consents to amend the indenture governing the notes, it is extending the expiration date of the tender offer. The extension of the tender offer is described in the press release, a copy of which is attached hereto and incorporated herein by reference.
