ITEM 1.01 Entry into a Material Definitive Agreement.

On May 13, 2005, MetroPCS Wireless, Inc. (the “Company”) entered into an amendment, effective as of May 15, 2005 (the “Amendment”), to the General Agreement for Purchase of Personal Communications Services Systems, dated as of October 1, 2002, by and between the Company and Lucent Technologies Inc. (Contract No.: LNM01NMDK02002), as amended (the “Agreement”). Prior to giving effect to the Amendment, the Agreement expired on May 15, 2005. The Amendment extends the term of the Agreement until June 6, 2005.
