Item 2.02. Results of Operations and Financial Condition.

On July 20, 2005 Main Street Banks, Inc. (the “Registrant”) announced financial results for the quarter ended June 30, 2005. A copy of the press release announcing the Registrant’s results for the quarter ended June 30, 2005 is attached hereto as Exhibit 99.1. Exhibit 99.2 contains supplemental financial tables that accompany the press release.

At 10:00 a.m. EDT on June 20, 2005 the Registrant will hold an investor call and webcast to disclose financial results for the quarter ended June 30, 2005. Instructions as to how to access the call and webcast are contained in the press release attached as hereto Exhibit 99.1. The Supplemental Information Package for use at this conference is furnished herewith as Exhibit 99.3 and incorporated by reference in this Item 2.02.
