Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On July 18, 2005, Robert J. Finocchio resigned from the board of directors and the committees of the board of PalmSource, Inc. (the “Company”). Mr. Finocchio has been replaced on the Audit Committee of the Company by Mr. Andre Dahan.
