Item 7.01. Regulation FD Disclosure.

On August 18, 2005, Vicuron Pharmaceuticals Inc. (the “Company”) issued a press release after filing a New Drug Application (NDA) with the U.S. Food and Drug Administration for anidulafungin for the treatment of invasive candidiasis/candidemia. The full text of the press release is attached as Exhibit 99.1 to this Current Report.

The information furnished under Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed to be “filed” for purposes of section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.

Item 8.01. Other Events.

On August 18, 2005, the Company issued a press release announcing it filed a NDA with the U.S. Food and Drug Administration for anidulafungin for the treatment of invasive candidiasis/candidemia. The NDA includes clinical data from a previously announced Phase 3 trial demonstrating superiority of anidulafungin versus fluconazole in invasive candidiasis/candidemia.
