Item 8.01. Other Events

On October 4, 2005, Gregg Appliances, Inc. (the “Company”) issued a press release announcing that on September 30, 2005, the Company has commenced an offer to exchange up to $165,000,000 principal amount of 9% Senior Notes due 2013 for a like principal amount of 9% Senior Notes due 2013 with substantially identical terms that have been registered under the Securities Act of 1933, as amended.

A press release announcing the exchange offer is attached hereto as Exhibit 99.1.
