OTHER EVENTS

Effective at the opening of business on January 5, 2006 the Registrant merged its two subsidiary banks, Catawba Valley Bank, headquartered in Hickory, North Carolina with and into First Gaston Bank of North Carolina, headquartered in Gastonia, North Carolina. The merger of the two banks is in anticipation of the merger of the Registrant with and into FNB Corp, Asheboro, North Carolina which was previously announced pursuant to an Agreement and Plan of Merger dated September 18, 2005.
