Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant

On April 28, 2006, the Company entered into an amendment to its existing credit agreement to, among other things, provide for a $40 million term loan to facilitate the purchase of certain assets related to the coal tar business of Reilly Industries, Inc. and increase the revolving credit facility to $125 million from $115 million. The amendment to the credit agreement is furnished as exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
