Item 7.01 Regulation FD Disclosure.

On July 7, 2006, RBS Global issued a press release announcing the revised pricing terms of its tender offer and consent solicitation with respect to the 10¹/8% Senior Subordinated Notes due 2012 of its wholly owned subsidiary Rexnord Corporation. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
