Other Events

On April 23, 2007, E-centives, Inc. (the “Company”) issued a press release announcing that it had filed an Information Statement on Schedule 14C relating to a one-for-ten reverse stock split of the Company’s issued and outstanding common stock, the Company’s name change to Invenda Corporation and the approval of a new 2007 Stock Incentive Plan. These changes are expected to be effective in mid May, 2007. A copy of the Company’s press release is filed as Exhibit 99.1 to this current report on Form 8-K and is incorporated herein by reference.
