Termination of a Material Definitive Agreement

AsDispute ~~previously~~Regarding ~~announced,~~Termination ~~Eagle Hospitality Properties Trust, Inc. (the “Company”) has entered into an Agreement and Plan~~ of ~~Merger,~~Hotel ~~dated~~Management ~~April 27,~~Agreements ~~2007~~with ~~(the~~Commonwealth ~~“Merger Agreement”)~~Hotels, ~~between the Company, AP AIMCAP Holdings LLC (“Purchaser”), AP AIMCAP Corporation, a wholly-owned subsidiary of Purchaser (“Merger Sub”), and EHP Operating Partnership L~~Inc.~~P.,~~ ~~the Company’s operating partnership (the “Partnership”).~~

InAs ~~furtherance~~previously announced, on May 25, 2007, Eagle Hospitality Properties Trust, Inc. (the “Company”) sent written notices to terminate the hotel management agreements for nine of its hotels, eight of which are managed by Commonwealth Hotels, Inc. The termination notices are expressly conditioned upon the ~~Merger~~consummation ~~Agreement~~of ~~and~~the attransactions contemplated by the ~~request~~Agreement and Plan of ~~Purchaser~~Merger, ondated ~~May~~April 2527, 2007 (the “Merger Agreement”), by and among the Company, ~~sent~~AP ~~written~~AIMCAP ~~notices~~Holdings toLLC ~~terminate~~(the “Purchaser”), AP AIMCAP Corporation (the “Merger Sub”), and EHP Operating Partnership L.P. The termination of each of the hotel management agreements ~~for~~is to be effective upon the ~~following~~later ~~hotels:~~of (i) 60 days after receipt of the notice and (ii) the consummation of the transactions contemplated by the Merger Agreement.

OH Commonwealth ~~Hotels,~~has demanded ~~Inc.~~arbitration ~~Embassy~~of ~~Suites~~the ~~Hotel~~termination ~~Cleveland/Rockside Independence~~issue, OHas ~~Commonwealth~~well ~~Hotels,~~as ~~Inc.~~other ~~Embassy~~related ~~Suites Hotel Denver-International Airport Denver, CO Commonwealth Hotels, Inc~~issues. ~~Embassy~~The ~~Suites~~Company ~~Hotel~~disagrees ~~Tampa-Airport/Westshore~~with ~~Tampa, FL~~ Commonwealth’s ~~Hotels,~~claims ~~Inc.~~and ~~Embassy~~is ~~Suites~~evaluating ~~Hotel~~an ~~Boston~~appropriate ~~at Logan International Airport Boston, MA Prism Hospitality, L~~response.P.

~~The~~William ~~termination~~P. ~~notices are expressly conditioned upon the consummation of the transactions contemplated by the Merger Agreement~~Butler, ~~and will be effective upon~~ the ~~later~~non-executive ofChairman ~~(i) 60 days after receipt~~ of the ~~notice~~Board ~~and (ii) the consummation~~ of ~~the~~Directors ~~transactions contemplated by the Merger Agreement. Each~~ of the ~~management~~Company, ~~agreements provides~~is ~~for~~also ~~a termination fee payable following~~ the ~~effective~~Chairman ~~date~~ of, ~~the~~and ~~termination. Such termination fees will be payable in accordance with~~ the ~~management~~owner ~~agreements following the consummation~~ of ~~the~~an ~~transactions~~85% ~~contemplated~~interest ~~by the Merger~~in, ~~Agreement~~Commonwealth.

~~William~~Item P8. ~~Butler, the non-executive Chairman of the Board of Directors of the Company, is also the Chairman of, and the owner of an 85% interest in, Commonwealth Hotels, Inc~~01., ~~the~~Other ~~manager with respect to nine of our hotels~~Events. ~~A form of the hotel management agreements with Commonwealth Hotels, Inc., was previously filed as Exhibit 10.13 to the Company’s Amendment No. 2 to Form S-11 (Registration No. 333-115213).~~

Record Date for Special Meeting of Stockholders

A committee of the Board of Directors of the Company has established a record date of Friday, June 15, 2007, for a special meeting of stockholders to vote upon a proposal to approve the merger of the Company with and into the Merger Sub and the other transactions contemplated by the Merger Agreement . Stockholders of record at the close of business on such date will be entitled to receive notice of, and to vote at, the special meeting. The Company will send to each stockholder of record as of the record date a meeting notice and proxy statement, which will include the specific time and location of the special meeting and important information about the proposed merger.

Lawsuit Filed by Corporex Realty & Investment, LLC

On May 31, 2007, Corporex Realty & Investment, LLC (“CRI”) filed a complaint in the Commonwealth of Kentucky Kenton Circuit Court against the Company and EHP Operating Partnership, L.P. (the “Partnership”). CRI is an affiliate of William P. Butler. In the complaint, CRI claims that the Company and the Partnership are in breach of an option agreement relating to the Company’s Embassy Suites Hotel Cleveland/Rockside and seeks injunctive relief and damages. The claims appear to be based primarily on the Company’s termination of the hotel management agreement with Commonwealth, the manager of the hotel. The Company and the Partnership believe that the allegations and claims in the complaint are without merit and intend to vigorously defend themselves in this matter.
