Item 5.02

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On June 4, 2007, the Company held its 2007 Annual Meeting of Members. At the meeting, the Company elected four Class III Directors to serve until the 2010 Annual Meeting of Members and until their successors are elected. Three incumbent directors, Fredrick J. Knievel, David Stearns, and Leonard Wostrel, were elected by the members as Class III Directors, and one new director, James Krause, was elected as a Class III Director. As previously disclosed in the Company’s 2007 Proxy Statement, Gary Kuester, who had been a Class III Director, passed away on December 22, 2006, and James Krause was elected to fill this vacancy.
