Other Events

On June 26, 2007, Gregg Appliances, Inc. (“Gregg Appliances”) commenced a cash tender offer for any and all of its outstanding 9% Senior Notes Due 2013 CUSIP Number 397528AB6 (“9% Senior Notes”). In connection with the tender offer, Gregg Appliances is soliciting consents to effect certain proposed amendments to the indenture governing the 9% Senior Notes. A copy of the press release announcing the tender offer and consent solicitation is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
