Item 5.02—Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 27, 2007, A. Jay Meyerson, a member of the Board of Trustees of Accredited Mortgage Loan REIT Trust (the “Company”), notified the Company that he was resigning from the Board of Trustees of the Company effective immediately. Mr. Meyerson stated that he had accepted a position with an employer whose policies do not permit membership on corporate boards due to potential conflicts of interest. Mr. Meyerson was the Chief Executive Officer of Aames Investment Corporation (“Aames”) prior to the acquisition of Aames by the Company’s parent company, Accredited Home Lenders Holding Co., and Mr. Meyerson joined the Company’s Board of Trustees after the acquisition. Mr. Meyerson did not identify any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
