Entry into a Material Definitive Agreement

Effective November 30, 2007, US Oncology, Inc., entered into an amendment to its senior secured credit facility amending the financial covenants contained therein and the interest rate payable thereunder and otherwise amending the terms of the facility as more fully set forth in the amendment. A copy of the amendment is filed as an Exhibit to this Current Report.
