Item 2.02.

Results of Operations and Financial Condition.

On March 12, 2009, Realty Finance Corporation (the “Company”) issued an earnings press release relating to the Company’s financial performance for the quarter and year ended December 31, 2008. A copy of the press release is attached hereto as Exhibit 99.1.

The information being furnished pursuant to this “Item 2.02.
