Item 8.01.

Other Events.

On June 4, 2009, CallWave, Inc., a Delaware corporation (the “Company”) issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated by reference herein, announced that it has extended the tender offer (the “tender offer”) by one (1) day to purchase shares of the Company common stock at a price of $1.15 per share. The tender offer was originally set to expire on June 4, 2009 at 5:00 p.m. New York City Time, and is now extended until 12:00 a.m. (midnight), New York City Time, on June 5, 2009.
