Item 8.01. Other Events.

On September 3, 2009, Metavante Technologies, Inc. (“Metavante”) and Fidelity National Information Services, Inc. (“FIS”) announced that the companies have received clearance from the U.S. Department of Justice to complete their proposed merger without conditions. Completion of the merger remains subject to receipt of FIS and Metavante shareholder approvals, and other customary closing conditions.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
