Results of Operations and Financial Condition.

On February 24, 2010, Bare Escentuals, Inc. (the “Company”) issued a press release announcing the Company’s financial results for the fourth fiscal quarter and fiscal year ended January 3, 2010. The Company is furnishing a copy of the press release hereto as Exhibit 99.1.
