Other Events.

On November 9, 2010, NightHawk Radiology Holdings, Inc. (NightHawk) and Virtual Radiologic (vRad) announced that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, for NightHawk’s previously announced proposed merger with vRad, has terminated.

A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
