Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 10, 2011, Stacey Sias ceased service as Senior Vice President, Business Development and Strategic Planning of Celera Corporation (the “Company”) and is no longer an executive officer of the Company. Dr. Sias will receive severance benefits under the Company’s Executive Change in Control Plan, as amended, the terms of which are described in the Information Statement attached as Annex I to the Solicitation/Recommendation Statement on Schedule 14D-9 filed by the Company on March 28, 2011, as amended.
