Other Events.

On April 23, 2012, the Company issued a press release, which is attached hereto as Exhibit 99.1 and is incorporated herein by reference, announcing the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the Company’s pending acquisition by Bausch & Lomb Incorporated, a New York corporation (“Parent”), pursuant to the Agreement and Plan of Merger dated as of March 26, 2012, by and among the Company, Parent, and Inga Acquisition Corporation, a Delaware corporation and wholly-owned subsidiary of Parent. Completion of the transaction remains subject to the satisfaction of certain conditions, including approval of the Company’s stockholders.
