Item 2.02.

Results of Operations and Financial Condition.

On November 13, 2012, AGY Holding Corp. (the “Company”) announced via press release its financial results for the third quarter ended September 30, 2012 and that it will hold a teleconference to discuss those results on Wednesday, November 14, 2012. A copy of the press release is attached hereto as Exhibit 99.1.
