Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Kenton Thompson, Corporate Executive Vice President of Commercial Banking and Regional President North Coast Region of First Place Bank (the “Bank”), a wholly owned subsidiary of First Place Financial Corp., has submitted his resignation, which takes effect December 28, 2012. Mr. Thompson is leaving the Bank to pursue another opportunity.
