Other Events

On January 3, 2013, the Board of Directors of Comverse Technology, Inc. (the “Company”) determined that the Special Meeting of Shareholders (the “Special Meeting”), at which Company shareholders will consider and vote upon the merger of the Company and Verint Systems Inc. (“Verint”), as contemplated by the Agreement and Plan of Merger, dated August 12, 2012, by and among the Company, Verint and Victory Acquisition I LLC (the “Verint Merger”), will be held at 10:00 a.m. local time on Monday, February 4, 2013 at the offices of Jones Day, 222 East 41^st Street, New York, New York (rather than being held on January 31, 2013, as was previously disclosed).

In furtherance of the Special Meeting, the Company will file definitive proxy materials later today with the Securities and Exchange Commission pursuant to which the Board of Directors of the Company will seek shareholder approval of the Verint Merger.
