Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Corporation Arrangements of Certain Officers.

As previously announced, on May 18, 2012, Paul R. Skubic retired from his positions as Chairman of the Board, President and Chief Executive Officer of Harris Preferred Capital Corporation (the “Company”). Effective April 1, 2013, Paul R. Skubic resigned from the Board of Directors of the Company. The resignation was not a result of any disagreement with the Company or any matter relating to the Company’s operations, policies or practices.
