Item 8.01

Other Events.

On August 13, 2013, First Regional Bancorp (the “Company”) filed its monthly operating report for the period beginning July 1, 2013 and ending July 31, 2013 (the “July Report”) with the United States Bankruptcy Court for the Central District of California (the “Bankruptcy Court”). The July Report is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated by reference herein.

Cautionary Statements Regarding July Report

The July Report is limited in scope, covers only a one-month time period and has been prepared solely for the purpose of the Company’s compliance with the monthly reporting requirements of the Bankruptcy Court.
