Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 7, 2013, Messrs. George R. Morris, Chief Operating Officer, and Keith R. Godwin, Chief Accounting Officer and Corporate Secretary, of ATP Oil & Gas Corporation (the “Company”), informed the Company of their decisions to resign and accept positions with other exploration and production companies. Their resignations will be effective October 18, 2013, the day after the anticipated sale-hearing for substantially all of the Company’s assets in conjunction with its Chapter 11 process.
