Item 8.01

Other Events.

On October 9, 2013, First Regional Bancorp (the “Company”) filed its monthly operating report for the period beginning September 1, 2013 and ending September 30, 2013 (the “September Report”) with the United States Bankruptcy Court for the Central District of California (the “Bankruptcy Court”). The September Report is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated by reference herein.

Cautionary Statements Regarding September Report

The September Report is limited in scope, covers only a one-month time period and has been prepared solely for the purpose of the Company’s compliance with the monthly reporting requirements of the Bankruptcy Court.
