Financial Statements

Note 1.

Basis of Presentation

The accompanying unaudited consolidated financial statements include Coastal Caribbean Oils & Minerals, Ltd. (“the Company”) and its wholly owned subsidiary, Coastal Petroleum Company (“Coastal Petroleum”) and have been prepared in accordance with generally accepted accounting principles for interim financial information and with the instructions to Form 10-Q and Rule 10-01 of Regulation S-X. Accordingly, they do not include all of the information and footnotes required by generally accepted accounting principles for complete financial statements. In the opinion of management, all adjustments considered necessary for a fair presentation have been included. All such adjustments are of a normal recurring nature. Operating results for the ~~three~~six ~~and nine~~ month ~~periods~~period ended ~~September~~June 30, ~~2011~~2012, are not necessarily indicative of the results that may be expected for the year ending December 31, ~~2011~~2012. For further information, refer to the consolidated financial statements and footnotes thereto included in the Company’s Annual Report on Form 10-K for the year ~~ended~~ ended December 31, ~~2010~~2011.

Effects of Recent Accounting Pronouncements

In May 2014, the FASB issued ASU 2014-09 (Revenue from Contracts with Customers (Topic 606)), which requires an entity to recognize revenue from the transfer of promised goods or services to customers in an amount that reflects the consideration to which the entity expects to be entitled in exchange for those goods or services. The guidance addresses in particular contracts with more than one performance obligation as well as the accounting for some costs to obtain or fulfill a contract with a customer and provides for additional disclosures with respect to revenues and cash flows arising from contracts with customers. With respect to public entities, this update is effective for fiscal years, and interim periods within those years, beginning after December 15, 2016 and early adoption is not permitted. We believe that our implementation of this guidance will have no material impact on our consolidated financial statements.

Note 2.

Going Concern

AsThe ~~of September 30, 2011, the~~ Company ~~had~~has no revenues, had recurring losses ~~from~~since ~~operations~~2006 and prior to 2005 and has had an accumulated deficit during the development stage. The Company’s current cash position is not adequate to fund existing operations or exploration and development of ~~its~~any potential oil and gas properties. ~~Currently, management is actively pursuing funding to allow the Company to undertake exploration efforts on its own.~~ The Company has an agreement in place with a director which provides the director with options to further fund the Company to continue operations and exploration ~~of its leases~~. The Company continues to be in contact with several parties interested in investing in the Company so that the Company could explore its leases on its own. In addition, the Company has been in contact with other parties interested in working with the Company, in buying some of the Company’s leases or in buying or earning an interest in those leases. There is no assurance that the Company will be able to obtain any funding, that sufficient funding can be obtained, or that the Company will be able to raise necessary funds ~~through the sale of some of its leases or interests in those leases~~.

These situations raise substantial doubt about the Company’s ability to continue as a going concern. The consolidated financial statements do not include any adjustments to reflect the possible future effects on the recoverability and classification of assets or amounts and classification of liabilities, which may result from the outcome of this uncertainty.

Net loss per share

Net loss per share is based upon the weighted average number of common and common equivalent shares outstanding during the period. The Company’s basic and diluted calculations of earnings per share (“EPS”) are the same because the exercise of options is not assumed in calculating diluted EPS, as the result would be anti-dilutive. The Company has included common shares to be issued to Robert J. Angerer, Sr. for advances made through June 30, 2012.

Note 4.

Unproved Oil, Gas and Mineral Properties

In December 2011, the Company determined that its leases and capitalized development costs were impaired due to the time remaining under some of the leases, the Company being unable to establish quantifiable production on the leases, and in the case of less prospective leases, for nonpayment of lease rentals, and recorded an impairment charge of $2,832,519.

Montana Leases

The Company’s ~~primary~~had a presence in ~~Montana is in~~ Valley County, Montana, where it ~~holds~~held leases covering approximately 32,313 net acres, which ~~are~~were the remaining unexpired leases from those leases the Company acquired in three separate acquisitions between July 2005 and February 2006. ~~The~~Subsequent to 2011, these leases ~~acquired~~expired indue ~~those~~to ~~acquisitions~~the ~~are~~expiration ~~contiguous~~of tothe ~~each~~time ~~other~~remaining ~~and~~under ~~are~~some ~~referred~~of the leases, the Company being unable to ~~collectively~~establish asquantifiable “production on the ~~Valley~~leases, ~~County~~and ~~Leases~~in the case of less prospective leases, for nonpayment of lease rentals, and an impairment charge of $2,832,519 was recorded.”

The first acquisition of the Valley County Leases was in July 2005, when the Company acquired the rights to drill two 6,500 foot wells to test Mississippian Lodgepole reefs in Valley County, in northeast Montana for a one time fee of $50,000 from an entity controlled by one of the Company’s Directors. That acquisition included a small amount of acreage and the option to drill fifty additional prospects in the Valley County area.

The second acquisition of the Valley County Leases was in November 2005, when the Company acquired a group of oil and gas lease rights to approximately 109,423 net acres in eastern Montana for $1,568,000 from EOG Resources, Inc. and Great Northern Gas Company. These leases are subject to various overriding royalty interests to others ranging up to 19.5%. These leases expire in years from 2011 to 2014.

The final acquisition of acreage within the Valley County Leases was in February 2006, when the Company acquired additional oil and gas leases in eastern Montana covering 27,740 net acres contiguous to its existing Montana leases. These leases were acquired from the Bureau of Land Management and United States Department of the Interior.

North Dakota Leases

~~The Company currently holds approximately 400 acres of leases covering its Red River prospect in North Dakota.~~ In July 2005, the Company ~~originally~~ acquired leases to the deeper rights in approximately 21,688 net acres in and near Slope County, North Dakota. ~~for~~Subsequent ato ~~one time fee of $50~~2011,~~000~~ these ~~from~~leases anexpired ~~entity~~due ~~controlled~~to bythe ~~one~~expiration of the ~~Company’s~~time ~~Directors~~remaining ~~and~~under ~~the Company has invested~~ some ~~additional~~of ~~funds~~the toleases, ~~geochemically~~the ~~test~~Company ~~and~~being ~~high-grade~~unable ~~these~~to ~~and other~~establish ~~prospects~~quantifiable production on the leases., ~~The~~and ~~majority~~in of the ~~leases~~case ~~previously~~of ~~held~~less inprospective ~~North~~leases, ~~Dakota~~for ~~have~~nonpayment ~~expired~~of lease rentals.

Note 5.

Income Taxes

For the ~~three~~six ~~and nine~~ month periods ending ~~September~~June 30, ~~2011~~2012 and ~~2010~~2011, the Company reported a loss for both financial statement reporting and income tax purposes. The Company has provided a 100% valuation allowance on its deferred tax asset as a result of its net operating loss carryforwards. The Company had approximately $109,~~000~~441,000 in net operating loss carryforwards at December 31, ~~2010~~2011.

Related Party Transactions

Pursuant to a written agreement with respect to the Valley County Leases, the Company has used an entity controlled by an individual who is a shareholder and director of the Company to perform geotechnical analysis of potential drilling sites at a cost of $1,000 per site. The Company paid no amounts to this entity for the three and nine months ended September 30, 2011 and 2010, respectively.

Services

Through May 2009, the Company paid a monthly retainer to the law firm of Angerer & Angerer which had been litigation counsel to the Company for more than twenty-five years and also served the Company in that capacity as well as others including general counsel services, management services, public relations, shareholder relations and representing the Company before state and federal agencies for permitting. The principals of the law firm included two individuals who are collectively shareholders , officers and a director of the Company. ~~The~~No ~~Company~~amounts ~~accrued~~were ~~and~~paid ~~expensed~~or ~~$60,000~~accrued in ~~legal~~the ~~fees~~six tomonth ~~Angerer &~~periods ~~Angerer~~ending inJune 30, ~~2009.~~2012 ~~No amounts were paid~~ or ~~accrued in~~ 2011 ~~or 2010~~. The Company owes $150,000 to Angerer & Angerer at ~~September~~ June 30, ~~2011 and December 31, 2010~~2012.

~~From~~The ~~June~~Company ~~2009~~expensed ~~until~~$0 ~~his~~and ~~resignation on January 14~~$6,094 ~~2010,~~for ~~the Company retained Robert J. Angerer, Sr. as~~ legal ~~counsel.~~fees ~~Mr. Angerer~~by ~~had been litigation counsel to~~ the ~~Company~~law ~~for~~firm ~~more~~of Igler & ~~than~~Dougherty, ~~twenty-five years before his resignation~~P.A., Asduring ~~counsel for~~ the ~~Company~~six hemonths ~~served~~ended ~~the Company as litigation counsel~~June 30, ~~but~~2012 ~~also provided the Company with general counsel services~~ and ~~management~~2011, ~~services and represented the Company before state and federal agencies for permitting~~respectively. At June 30, 2012, the Company’s ~~website.~~owes Nocompensation ~~amounts~~and ~~were~~related ~~paid~~benefits ~~or accrued~~to inits ~~2011~~president orand ~~2010,~~CEO ~~related~~of to$625,000 ~~these~~and ~~services~~$167,828, respectively.

The Company ~~incurred~~has ~~and~~also ~~expensed~~been ~~$7,036~~accruing ~~and~~directors’ ~~$5,503 in legal~~ fees. toDuring the ~~law~~six ~~firm~~months ~~of Igler &~~ended ~~Dougherty~~June 30, PA2012, ~~during~~ the ~~nine~~Company ~~months~~accrued ~~ended~~$12,500 ~~September~~of fees to directors. At June 30, ~~2011~~2012, ~~and~~the ~~2010~~Company owes $281,250 ~~respectively~~in directors’ fees.

~~The~~Note ~~Company owed Igler & Dougherty, PA $14,595 and $~~7~~,559 at September 30, 2011 and December 31, 2010, respectively~~. ~~Mr.~~ ~~Herbert~~Certificates ~~D. Haughton, a shareholder~~ of ~~the~~Deposit ~~firm,~~– ~~was elected a director of Coastal Caribbean and of Coastal Petroleum in December 2005.~~ Restricted

The Company has pledged certificates of deposit for pollution bond requirements under three previous well permits.

Note 8.

Stock Transactions

Beginning in 2010, the Company has entered into various agreements to sell and sold restricted shares of its common stock for cash or in return for payment of certain Company expenses that have allowed the Company to pay lease rentals and other administrative costs necessary to keep the Company viable through the current period.

On May 20, 2011, the Company entered into an agreement with Robert J. Angerer, Sr., for the sale of 857,142 restricted and unregistered shares of common stock of the Company for $60,000, in order to cover certain Company expenses. Then in October 2011, in order to fund immediate cash needs at that time, the Company entered into another agreement with Robert J. Angerer, Sr., for an immediate infusion of $30,000 cash and the commitment to spend $130,000 in operational costs to complete the Federal 1-19A well. The agreement also provided options for Mr. Angerer to provide additional funding. In conjunction with this agreement, the Company entered into a separation agreement with Phillip W. Ware. Mr. Angerer completed the nitrogen fracturing operation on the Federal 1-19A well at a cost of $171,501 in 2012. The Company plans to issue 3,564,705 shares of restricted and unregistered shares of common stock to Mr. Angerer for 2012. In 2013, Mr. Angerer paid $60,000 to the Company in order for the Company to pay legal compliance costs and paid $343,988 of existing liabilities of the Company. In February 2014, Mr. Angerer paid $30,500 for regulatory compliance costs on behalf of the Company. The Company plans to issue Mr. Angerer 15,834,199 shares of restricted and unregistered shares of common stock in exchange for the funds paid into the Company during 2013 and through June 30, 2014, pursuant to the 2012 agreement.

During August 2009, the Company borrowed $25,000 from a consultant and also agreed to pay the consultant a fee of $25,000 to identify investors to consummate an agreement and fund exploration. The funds from the loan were used to pay the Company’s annual corporate fee to Bermuda as well as certain other operational expenses. The loan is non interest bearing and has no set repayment terms. No investor agreements have been consummated by the consultant at September 30, 2011, therefore the $25,000 loan is not currently due and the $25,000 fee has not been earned.

Note 9. Stock Transactions

On January 14, 2010, the Company and Coastal Petroleum entered into a letter agreement with Robert J. Angerer, Sr. for the funding of immediate cash needs and granted Mr. Angerer an option to fund the Company’s and Coastal Petroleum’s future obligations. Under the agreement Mr. Angerer provided compensation to the Company including $300,000 cash and the forgiveness of $150,000 of legal fees owed to his law firm, Angerer & Angerer, forgiveness of $21,500 in director fees owed to him and credit of $240,000 for the completion of the Company’s purchase of leases on which there is a Red River oil and gas development prospect. In return, Mr. Angerer was issued 14,400,000 Rule 144 restricted shares of the Company’s common stock and was provided an option to further fund the Company. Under the agreement, Mr. Angerer could exercise up to four options by paying $3 million for each option beginning three months after the date of the agreement and thereafter in three month intervals. In return for the funding, Mr. Angerer would earn up to a total of 36% of the Company’s operations in North Dakota and Montana in increments per exercised option and a 20% interest in Coastal Petroleum. There was also one extension available to extend the time to exercise the first option for three months in exchange for the payment of $50,000. Simultaneous with this transaction, Mr. Angerer resigned as the Vice President of both the Company and Coastal, but will remain as a Director and the Chairman of the Board of Directors for both the Company and Coastal Petroleum.

On April 29, 2010, Mr. Angerer paid $50,000 and elected to extend the option to fund the Company’s operations. However, Mr. Angerer did not exercise his option within the required time and in July 2010, the agreement expired by its terms.

Critical Accounting Policies

The Company follows the full cost method of accounting for its oil and gas properties. All costs associated with property acquisition, exploration and development activities whether successful or unsuccessful are capitalized.

~~On May~~Liquidity ~~20, 2011, the Company entered into an agreement with Mr.~~and Angerer for the sale of 857,142 restricted shares of the Company’s common stock for $60,000 payable in three tranches from the date of the agreement with the last $8,000 payment made in July 2011. In addition, under the Agreement Mr.Capital ~~Angerer~~Resources had the option to infuse an additional $240,000 in funds, through the purchase of additional shares, in order to complete the Federal 1-19A well and cover other company expenses. In August 2011, Mr. Angerer exercised $10,000 of this option for 142,857 shares of common stock, in order to fund certain immediate needs of the Company, but the remainder of the option expired.

OnLiquidity October 17, 2011, the Company entered into an agreement with Robert J. Angerer, Sr., a Director and the Chairman of the Board of Directors for both the Company and Coastal, for the funding of the Company’s immediate cash needs and granting Mr. Angerer an option to fund the Company’s future obligations. Under the Agreement Mr. Angerer provided financial support to the Company including $30,000 cash and the commitment to spend $130,000 in operational costs to complete the Federal 1-19A well in Valley County, Montana. In return, Mr. Angerer was issued 4,444,444 Rule 144 restricted shares of the Company’s common stock. Under the Agreement, Mr. Angerer also has two future options; the first is to invest an additional $25,000 to pay lease rentals due on November 1, 2011, in return for 694,444 shares of common stock and the second is to invest $815,000 on or before January 31, 2012, in return for 22,638,888 shares of common stock, to provide funds for exploration. Mr. Angerer exercised the first of these options on October 28, 2011.

Liquidity and Capital Resources

Liquidity

As more fully described in Note 2 to the consolidated financial statements, we have no recurring revenues, have experienced recurring losses and have a deficit accumulated during the development stage. We, along with various other related parties, settled several lawsuits in 2005, which were filed by the Company, our subsidiary Coastal Petroleum Company and other related parties against the State of Florida. All of these lawsuits were related to the State’s actions limiting our ability to commence development activities through our subsidiary. The cost of that litigation was substantial. Management believes its current cash position, and its active efforts to obtain funding will allow the Company to move forward to explore and develop profitable oil and gas operations, although there is no assurance these efforts will be successful. These situations raise substantial doubt about our ability to continue as a going concern. Our consolidated financial statements do not include any adjustments to reflect the possible future effects on the recoverability and classification of assets or amounts and classification of liabilities, which may result from the outcome of these uncertainties.

The Company had $9,000 available cash, excluding certificate of deposits pledged for drilling permits, at September 30, 2011, and had $17,000 at December 31, 2010. Our current liabilities exceed our current assets by approximately $1,417,000 at September 30, 2011. We have suspended payments to our directors, general legal counsel, and employee since the second quarter of 2007 and have accrued approximately $1,400,000 in expenses as of September 30, 2011. We expect to continue to suspend payments to these parties until sufficient funding can be secured to resume exploration operations and cover normal operating expenses. In May 2011, we received $52,000 in cash from Mr. Angerer and we received $8,000 in July 2011 in exchange for the issuance of 857,142 shares of common stock and an option to further fund the Company in the amount of $240,000 to complete the Federal 1-19A well. We paid $27,398 in annual lease payments that were due in June 2011.

In August 2011, Mr. Angerer exercised an option for 142,857 shares of common stock for $10,000. On October 17, 2011, we received $30,000 cash and the commitment to spend $130,000 in operational costs to complete the Federal 1-19A well in Valley County, Montana through an agreement with Mr. Angerer in exchange for 4,444,444 shares of common stock. Under the Agreement, Mr. Angerer also has two future options; the first is to invest an additional $25,000 to pay lease rentals due on November 1, 2011, in exchange for 694,444 shares of common stock and the second is to invest $815,000 on or before January 31, 2012, in exchange for 22,638,888 shares of common stock, to provide funds for exploration. We received $25,000 for the first option from Mr. Angerer on October 26, 2011.

Capital Resources

During 2010, the Company sold 22,725,000 shares of common stock for $770,000 in cash and settlement of $217,850 in liabilities. We drilled a test well on Coastal’s Starbuck East shallow gas prospect in Valley County, Montana and hired a consultant to obtain additional drilling permits for approximately $492,000. We also acquired four additional high-graded Lodgepole Reef prospects in North Dakota for $20,000 which leases subsequently expired in the first quarter of 2011.

In North Dakota, we control the working interest on approximately 400 net acres in Slope County covering a Red River oil prospect. We had originally intended to bring in others to share the risk and investment in wells it drilled in North Dakota until the Company is in a stronger financial position, but are now actively seeking funding to allow us to begin such exploration on our own.

If our funding efforts are successful, we plan to drill or participate in as many as eight exploratory wells on the Montana leases. However, the number of wells that we drill in 2011 and their cost will be subject to various factors, including whether or not we can obtain sufficient funding to carry out the drilling, the availability of drilling rigs that we can hire and whether we drill alone or with other participants. In addition, we could reduce the number of wells that we drill if oil and natural gas prices were to decline significantly. We expect the cost of drilling the sixteen wells to depend upon many factors, including those above, which may affect the cost of operations and whether and to what extent others participate with the Company.

We expect to continue to participate with others or to obtain sufficient funding to allow the Company to drill additional wells both in Montana and North Dakota.

Other Information

The Internal Revenue Code of 1986, as amended, provides special rules for distributions received by U.S. holders on stock of a passive foreign investment company (PFIC), as well as amounts received from the sale or other disposition of PFIC stock. Under the PFIC rules, a non-U.S. corporation will be classified as a PFIC for U.S. federal income tax purposes in any taxable year in which, after applying certain look-through rules, either (1) at least 75 percent of its gross income is passive income or (2) at least 50 percent of the gross value of its assets is attributable to assets that produce passive income or are held for the production of passive income.

The Company believes that it may be classified as a PFIC for the year ~~2010~~2012, because it ~~derived~~derives the majority of its gross income ~~in 2010~~ from the relatively small amount of interest the Company ~~received~~receives. The determination of whether the Company will be considered a PFIC for United States federal income tax purposes is an annual determination that cannot be made until the close of the fiscal year. Also, how the Company was classified in prior years does not affect how it will be classified in the current year.

If, for any taxable year, the Company’s passive income or assets that produce passive income exceed levels provided by U.S. law, the Company would be a “passive foreign investment company,” or PFIC, for U.S. federal income tax purposes. For the years 1987 through 2004 and in 2006, Coastal Caribbean’s passive income and assets that produce passive income exceeded those levels and for those years Coastal Caribbean constituted a PFIC. If Coastal Caribbean is a PFIC for any taxable year, then the Company’s U.S. shareholders potentially would be subject to adverse U.S. tax consequences of holding and disposing of shares of our common stock for that year and for future tax years. Any gain from the sale of, and certain distributions with respect to, shares of the Company’s common stock, would cause a U.S. holder to become liable for U.S. federal income tax under section 1291 of the Internal Revenue Code (the interest charge regime). The tax is computed by allocating the amount of the gain on the sale or the amount of the distribution, as the case may be, to each day in the U.S. shareholder’s holding period. To the extent that the amount is allocated to a year, other than the year of the disposition or distribution, in which the corporation was treated as a PFIC with respect to the U.S. holder, the income will be taxed as ordinary income at the highest rate in effect for that year, plus an interest charge.
