Item 7.01.

Regulation FD Disclosure.

On December 29, 2014, Summit Materials, LLC (the “Company”) issued a notice of conditional partial redemption pursuant to the Indenture, dated as of January 30, 2012 (the “Indenture”), among the Company, Summit Materials Finance Corp. (together with the Company, the “Issuers”), the guarantors from time to time party thereto and Wilmington Trust, National Association, as trustee and paying agent, that the Issuers have elected to redeem (the “Redemption”), on January 30, 2015, $218,750,000 aggregate principal amount of their outstanding 10¹⁄₂% Senior Notes due 2020 (the “Notes”), which equals 35% of the aggregate principal amount outstanding of such Notes, under the Indenture. The Redemption is conditioned upon, among other things, the completion of the initial public offering of Summit Materials, Inc., which will be the indirect parent of the Issuers upon consummation of such initial public offering.

The redemption price will be equal to 110.500% of $218,750,000 aggregate principal amount of such Notes, plus accrued and unpaid interest, if any, to the applicable date of redemption.
