On December 30, 2014, Party City Holdings Inc. (“Party City Holdings”), an indirect wholly-owned subsidiary of PC Nextco Holdings, LLC (“the Company”), ~~has~~and ~~promoted~~Party ~~Mr.~~City ~~Gregg~~Holdco AInc. ~~Melnick,~~(“Party ~~age~~City 45Holdco”), to the ~~position~~parent of the Company, amended its employment agreements with its Executive Chairman, Gerald C. Rittenberg, and its Chief Executive ~~President~~Officer, ofJames M. Harrison. Additionally, on such date, Party City Holdings ~~Inc.~~entered ~~effective~~into ~~immediately.~~an ~~Since~~employment ~~March~~agreement ~~2011~~with its President, MrGregg A. Melnick. ~~has~~All ~~been~~three ~~the President~~ of the ~~Party~~agreements ~~City~~were ~~Retail~~effective ~~Group~~on January 1, 2015. ~~From~~In ~~May~~conjunction ~~2010~~with tothe execution ~~February~~of ~~2011~~Mr. Melnick’s employment agreement, Mr. Melnick was named the President of Party City ~~Corporation~~Holdco. ~~Previously,~~The ~~he was~~description of the ~~Chief~~employment ~~Operating~~agreements ~~Officer~~set offorth ~~Party~~herein ~~City~~does ~~Corporation~~not ~~from~~purport ~~October~~to ~~2007~~be complete and is qualified in its entirety by reference to ~~April~~the ~~2010~~employment agreements filed herewith as Exhibits 99.1, 99.2 and 99.3 and such employment agreements are incorporated herein by reference.

On October 3, 2014, a press release was issued announcing the promotion. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.

There is no arrangement or understanding between Mr. Melnick and any other person pursuant to which Mr. Melnick was selected as an officer of Party City. Additionally, there are no transactions involving Mr. Melnick requiring disclosure under Item 404(a) of Regulation S-K of the SEC.
