Submission of Matters to a Vote of Security Holders.

Rice Energy Inc. (the “Company”) held its Special Meeting of Stockholders in Canonsburg, Pennsylvania on November 9, 2017 (the “Special Meeting”). At the Special Meeting, the Company’s stockholders were requested to (1) adopt the Agreement and Plan of Merger, dated as of June 19, 2017, among the Company, EQT Corporation, and Eagle Merger Sub I, Inc. (as it may be amended from time to time, the “Merger Agreement”), (2) approve, on an advisory (non-binding) basis, the compensation that may be paid or become payable to the Company’s named executive officers in connection with the merger, and (3) approve the adjournment of the Special Meeting, if necessary or appropriate, to solicit additional proxies if there are not sufficient votes to adopt the Merger Agreement. The following are the final voting results on proposals considered and voted upon at the Special Meeting, each of which is more fully described in the Company’s proxy statement, which was filed with the Securities and Exchange Commission on October 12, 2017, and as was supplemented on October 26, 2017 and October 31, 2017.
