Item 8.01 Other Events.

On May 23, 2018, RSP Permian, Inc. (“RSP” or the “Company”) established a record date of June 1, 2018 (the “record date”) for the special meeting of stockholders of the Company (the “special meeting”). At the special meeting, stockholders of the Company will be asked to consider and vote on proposals related to the proposed acquisition of RSP by Concho Resources Inc. (“Concho”) pursuant to that certain Agreement and Plan of Merger, dated March 27, 2018 (the “merger agreement”), among the Company, Concho and Green Merger Sub Inc., a wholly owned subsidiary of Concho. Company stockholders of record as of the close of business on Friday, June 1, 2018 will be entitled to receive notice of, and to vote at, the special meeting.
