Item 8.01

Other Events.

As previously announced, on May 7, 2018, Xcerra Corporation, a Massachusetts corporation (“Xcerra”), entered into an Agreement and Plan of Merger, by and among Xcerra, Cohu, Inc., a Delaware corporation (“Cohu”), and Xavier Acquisition Corporation, a Delaware corporation and a wholly owned subsidiary of Cohu (“Merger Sub”), pursuant to which Merger Sub will merge with and into Xcerra, with Xcerra surviving such merger as a wholly owned subsidiary of Cohu.

On May 25, 2018, Xcerra and Cohu filed their respective notification and report forms under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), with the Antitrust Division of the Department of Justice (the “DOJ”) and the United States Federal Trade Commission, which triggered the start of the HSR Act waiting period. The statutory waiting period was originally scheduled to expire on June 25, 2018. On June 25, 2018, in consultation with Xcerra, Cohu voluntarily withdrew its HSR Act notification, and expects to re-file the notification and report form under the HSR Act with the DOJ on June 27, 2018. Assuming Cohu re-files the notification and report form on June 27, 2018, the waiting period with respect to the expected re-filing would expire on July 27, 2018, unless otherwise extended or terminated.
