Item 1.01

Entry Into a Material Definitive Agreement.

On July 10, 2018, Atlas Energy Group, LLC (the “Company”), together with New Atlas Holdings, LLC, Atlas Lightfoot, LLC and Titan Energy Management, LLC, entered into the Waiver and Ninth Amendment to Credit Agreement (the “Amendment”) with Riverstone Credit Partners, L.P., as administrative agent, and the lenders under the first lien credit agreement (the “First Lien Facility”). The Amendment has an effective date of June 30, 2018.

Pursuant to the Amendment, the maturity date under the First Lien Facility was extended from June 30, 2018 until September 30, 2018. In addition, the Company’s failures to deliver certain customary certificates, reports and other deliverables under the First Lien Facility were waived.
