Item 8.01

Other Events.

On July 27, 2018, Xcerra Corporation, a Massachusetts corporation (“Xcerra”), and Cohu, Inc., a Delaware corporation (“Cohu”), issued a joint press release announcing that on July 26, 2018, the Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), with respect to the previously announced acquisition of Xcerra by Cohu, pursuant to the Agreement and Plan of Merger (the “Merger Agreement”), dated as of May 7, 2018, by and among Cohu, Xcerra and Xavier Acquisition Corporation, a Delaware corporation and a wholly owned subsidiary of Cohu (“Merger Sub”), pursuant to which Merger Sub will merge with and into Xcerra, with Xcerra surviving the Merger as a wholly owned subsidiary of Cohu (the “Merger”). The termination of the HSR waiting period satisfied one of the conditions to the closing of the Merger as specified in the Merger Agreement. Previously, on July 26, 2018, the Germany Federal Cartel office granted clearance for the acquisition.

In addition, Xcerra also announced that its special stockholder meeting to consider and vote to approve the Merger will be held on Thursday, August 30, 2018, at 9:30 a.m. Eastern time at Xcerra’s corporate offices located at 825 University Avenue, Norwood, Massachusetts 02062, and Cohu announced that its special stockholder meeting to consider and vote to approve the issuance of shares specified in the Merger Agreement will be held at 8:30 a.m. Pacific time on the same date at Cohu’s corporate offices located at 12367 Crosthwaite Circle, Poway, California 92064.

Consummation of the Merger remains subject to various closing conditions, including but not limited to the approval of the Merger and the share issuance by the Xcerra stockholders and Cohu stockholders, respectively. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated by reference in this Item 8.01.
