Item 1.01

Entry Into a Material Definitive Agreement.

On October 2, 2018, Atlas Energy Group, LLC (the “Company”), together with New Atlas Holdings, LLC, Atlas Lightfoot, LLC and Titan Energy Management, LLC, entered into the Waiver and Tenth Amendment to Credit Agreement (the “Amendment”) with Riverstone Credit Partners, L.P., as administrative agent, and the lenders under the first lien credit agreement (the “First Lien Facility”). The Amendment has an effective date of September 28, 2018.

Pursuant to the Amendment, the maturity date under the First Lien Facility was extended from September 30, 2018 until December 31, 2018. In addition, the Company’s failures to deliver certain customary certificates, reports and other deliverables under the First Lien Facility were waived.
