ITEM 5.03. Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 27, 2019, and effective as of that date, the Board of Directors of Total System Services, Inc. (“TSYS”) amended TSYS’ bylaws (as amended from time to time, the “Bylaws”) to add a new Article XII, which designates the Business Case Division of the Georgia Superior Court located in Fulton County as the sole and exclusive forum for certain legal actions, unless TSYS consents in writing to the selection of an alternative forum.

The preceding description of the amendment to the Bylaws is qualified in its entirety by reference to the Bylaws, as amended, attached hereto as Exhibit 3.1 and incorporated herein by reference.

ITEM 8.01. Other Events.

On May 28, 2019, TSYS and Global Payments Inc. (“Global Payments”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of May 27, 2019 (the “Merger Agreement”), providing for the merger of TSYS and Global Payments. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

In connection with the announcement of the Merger Agreement, TSYS and Global Payments intend to provide supplemental information regarding the proposed transaction in connection with presentations to analysts and investors. The slides that will be made available in connection with the presentation are attached hereto as Exhibit 99.2 and are incorporated herein by reference.
