Other Events

As previously disclosed, on December 18, 2019, TiVo Corporation, a Delaware corporation (“TiVo”), entered into an Agreement and Plan of Merger and Reorganization, as amended on January 31, 2020 (the “Merger Agreement”) by and among Xperi Corporation, a Delaware corporation (“Xperi”), XRAY-TWOLF HoldCo Corporation, a Delaware corporation (“Holdco”), XRAY Merger Sub Corporation, a Delaware corporation, and TWOLF Merger Sub Corporation, a Delaware corporation.

On April 29, 2020, the Korean Fair Trade Commission (the “KFTC”) notified Xperi that the transactions contemplated by the Merger Agreement, as reported to the KFTC, did not violate Article 7, Paragraph (1) of the Korean Monopoly Regulation and Fair Trade Law, subject to customary obligations to report certain changes to the KFTC. The obligations of TiVo and Xperi to complete the mergers contemplated by the Merger Agreement are subject to the satisfaction or waiver of several conditions set forth in the Merger Agreement.
