Regulation FD Disclosure

On November 22, 2020, Arko Holdings Ltd. (“Arko”) announced that GPM Investments, LLC (“GPM”) entered into a non-binding letter of intent (the “Letter of Intent”) with unrelated third parties (collectively, the “Sellers”) for the acquisition of approximately 60 self-operated sites in certain U.S. midwestern states for consideration of approximately $100 million (plus the value of inventory and cash in stores). The terms of the Letter of Intent include the potential acquisition of four additional convenience stores that the Sellers are currently negotiating to acquire, which would be acquired by GPM for additional consideration.

Under the terms of the Letter of Intent, GPM and the Sellers intend to enter into a definitive agreement, which would include customary representations, warranties, covenants and other provisions. GPM has been granted an exclusivity period in which to negotiate a definitive agreement with the Sellers. The final terms of the definitive agreement are subject to the completion of due diligence to GPM’s satisfaction, the negotiation and execution of the definitive documentation and satisfaction of the conditions therein. Accordingly, no assurances can be made that the parties will successfully negotiate and enter into a definitive agreement, or that the proposed transaction will be consummated on the terms or timeframe currently contemplated, or at all.
