Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2021, C. Brent McCoy retired from his officer position with Lamar Advertising Company. In connection with his retirement, he also resigned from the board of directors of Lamar Media Corp., which is a wholly owned subsidiary of Lamar Advertising Company. Mr. McCoy’s resignation was not a result of any disagreement with Lamar Media Corp.

Upon Mr. McCoy’s resignation on June 30, 2021, the board of directors of Lamar Media Corp. appointed Lee “Buster” Kantrow, Jr. to serve as a director of Lamar Media Corp. Mr. Kantrow is an officer of Lamar Advertising Company and Lamar Media Corp. He will not receive any additional compensation in connection with his appointment as a director of Lamar Media Corp.

There have not been any changes to the board of directors of Lamar Advertising Company.
