Item 5.07. Submission of Matters to a Vote of Security Holders.

On April 29, 2022, Oaktree Strategic Income II, Inc. (the “Company”) held its 2022 Annual Meeting of Stockholders (the “Annual Meeting”). As of January 4, 2022, the record date for the Annual Meeting, 17,401,121 shares of common stock of the Company were outstanding and entitled to vote. 8,932,327 of those shares were present or represented at the Annual Meeting, constituting a quorum.

Set forth below are the two proposals voted upon by the Company’s stockholders at the Annual Meeting, together with the voting results for each proposal. Each proposal was approved by the requisite vote.

Proposal 1. The election of two directors, who will each serve until the 2025 Annual Meeting of Stockholders or until his or her successor is duly elected and qualified:
