Regulation FD Disclosure.

Periphas Capital Partnering Corporation (the “Company”) has previously announced that it had determined to redeem all of its outstanding Class A common stock, par value $0.0001 per share (the “Class A Common Stock”). On December 14, 2022, the Company issued a press release announcing that it expects the redemption of its Class A Common Stock to occur on or about December 21, 2022.

A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
