Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 23, 2025, Ross J. Kari notified the board of directors (the “Board”) of Goldman Sachs Private Middle Market Credit II LLC (the “Company”) that he intends to retire from the Board and all committees thereof, effective as of May 1, 2026. The Company and the Board are grateful to Mr. Kari for his service and look forward to his continued contributions through the remainder of his tenure on the Board.
