Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 1, 2025, Lyra Therapeutics, Inc. (the “Company”) and Harlan W. Waksal, M.D., the Company’s Executive Chairman, agreed to terminate his employment effective immediately. Subject to Dr. Waksal entering into a separation agreement with the Company containing a release of claims, he will be entitled to receive the severance payments and benefits set forth in his employment agreement with the Company. On the same date, Dr. Waksal resigned as a Class II member of the Board of Directors (the “Board”). The Company thanks Dr. Waksal for his service. The Board appointed Maria Palasis, Ph.D., the Company’s President and Chief Executive Officer, as Chair of the Board, effective immediately. Jim Tobin will continue in his role as Lead Independent Director.
