Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 16, 2025, Sergio Pedreiro tendered his resignation from the Board of Directors (the “Board”) of Ashland, Inc. (the “Company”), including his roles on the Compensation Committee and as Chair of the Audit Committee, effective September 30, 2025. With the resignation of Mr. Pedreiro, the size of the Board was reduced from nine to eight directors, also effective September 30, 2025.

The resignation is not the result of any disagreement regarding the Company or its practices.
