Item 8.01 Other Events.

On September 27, 2025, Helios Technologies, Inc (the “Company”) completed the previously announced divestiture of its Custom Fluid Power (“CFP”) business to Questas Group (“Questas”), pursuant to the Share Sell Deed, dated August 1, 2025. The Company intends to use the proceeds from the transaction consistent with its stated capital allocation priorities, including debt repayment, disciplined organic investment into the business, and return of capital to shareholders.

A copy of the press release announcing the sale of CFP is attached hereto as Exhibit 99.1.
